This Hardware Fittings Procurement Contract is made by and between [Insert Name of Buyer] and [Insert Name of Seller] on [Insert Date of Contract]. The Buyer agrees to purchase hardware fittings from the Seller in accordance with the terms and conditions set out in this Contract. Parties to the Contract:
Supplier: ABC Hardware Fittings Co., Ltd.
Buyer: XYZ Construction Co., Ltd.
ABC Hardware Fittings Co., Ltd. (hereinafter referred to as the "Supplier") agrees to supply hardware fittings to XYZ Construction Co., Ltd. (hereinafter referred to as the "Buyer") in accordance with the terms and conditions stipulated below:
1、Scope of Supply:
The Supplier shall supply the following hardware fittings to the Buyer:
a. 1000 pieces of 2-inch galvanized steel pipes fittings;
b. 500 pieces of 3-inch stainless steel pipe fittings;
c. 2000 meters of 1/2-inch galvanized steel wire;
d. 100 kilograms of copper wire;
e. 5000 bolts and nuts made of carbon steel;
f. 1000 springs made of stainless steel;
g. 200 square meters of aluminum foil.
2、Prices and Terms of Payment:
a. The prices of the hardware fittings shall be as follows: 2-inch galvanized steel pipe fittings - $5 each; 3-inch stainless steel pipe fittings - $10 each; 1/2-inch galvanized steel wire - $3 per meter; copper wire - $5 per kilogram; carbon steel bolts and nuts - $0.5 each; stainless steel springs - $5 each; aluminum foil - $10 per square meter.
b. The total price of the hardware fittings shall be paid in full by the Buyer to the Supplier within 30 days from the date of receipt of the invoice from the Supplier. The payment shall be made through a bank accepted by both parties. The details of the bank shall be as specified by the Supplier in its invoice to the Buyer.
c. In case of any dispute regarding the quality or quantity of the hardware fittings, the payment shall be made against confirmed receipt of the hardware fittings by the Buyer from the Supplier, following inspection and confirmation by both parties that the hardware fittings are of satisfactory quality and quantity.
3、Delivery Terms:
a. The Supplier shall deliver the hardware fittings to the Buyer at the address specified by the Buyer in its purchase order, within 45 days from the date of receipt of the purchase order from the Buyer. The Supplier shall ensure timely delivery of the hardware fittings to the Buyer, in accordance with the terms and conditions stipulated in this Contract.
b. In case of any delay in delivery of the hardware fittings by the Supplier, the Buyer shall be notified by the Supplier in writing, specifying the reasons for the delay and providing a revised delivery schedule to the Buyer for its approval. The Buyer may, at its discretion, either accept or reject the revised delivery schedule proposed by the Supplier.
c. Upon receipt of the hardware fittings from the Supplier, the Buyer shall inspect and confirm in writing to the Supplier that the hardware fittings are of satisfactory quality and quantity. Any discrepancies or defects in the hardware fittings shall be reported by the Buyer to the Supplier in writing, within 7 days from the date of receipt of the hardware fittings from the Supplier. The Supplier shall promptly address and resolve any issues raised by the Buyer with regards to discrepancies or defects in the hardware fittings.
4、Warranty and Quality Assurance:
a. The Supplier guarantees that all hardware fittings supplied to the Buyer shall be free from defects in material and workmanship, under normal use and service conditions. In case any defect in material or workmanship is found in any hardware fitting supplied by the Supplier, upon notification by the Buyer to the Supplier, within 6 months from date of purchase, such hardware fitting shall be replaced by new ones free of charge or at a cost agreed upon by both parties. b. The Supplier shall ensure that all hardware fittings are thoroughly inspected and tested before shipment to ensure that they meet all applicable specifications and standards set by industry and regulatory authorities. c. The Supplier shall provide a certificate of conformity for each lot of hardware fittings shipped to ensure that they are compliant with all applicable specifications and standards set by industry and regulatory authorities. d. In case any dispute regarding quality or quantity of any hardware fitting arises between both parties, such dispute shall be resolved through mutual consultation and negotiation between both parties, with a view to reaching a mutually acceptable solution as soon as possible. e. All disputes not resolved through mutual consultation and negotiation between both parties shall be referred to arbitration, in accordance with arbitration rules set by industry authorities, for final resolution by an arbitrator appointed by both parties or their respective organizations in a mutually agreed upon arbitration institution in Hong Kong SAR (the arbitration institution being referred to as "the Institution").
