Contract for Specification of Hardware Accessories

I. Introduction
This contract is made and entered into by and between (Party A) and (Party B), with the intention to specify and purchase hardware accessories for their respective operations. This agreement is subject to the provisions of the following clauses and any other terms or conditions agreed upon by both parties, as well as any applicable local and federal laws, regulations, and standards.
II. Scope of Work
1、1 Party A will purchase the hardware accessories specified in this contract from Party B, which includes but is not limited to: (List of specific items).
1、2 The delivery shall be made within a period of no more than 30 days from the signing date of this contract.
1、3 All hardware accessories must conform to the specifications and standards outlined in this contract.
1、4 The quality of the hardware accessories shall comply with industry-standard certifications and inspection requirements.
III. Materials and Specifications
2、1 The materials used for the production of the hardware accessories shall comply with the following specifications: (List of specifications).
2、2 Each batch of hardware accessories shall be inspected for defects prior to shipment. If any defect exists, they shall be immediately returned to Party B for repair or replacement.
2、3 Upon receipt of the goods, Party B shall inspect them for errors or defects and notify Party A in writing. If the goods are found to be non-conforming, Party B shall provide timely solutions and return the goods to Party A at its earliest convenience.
2、4 The price of each piece of hardware accessory shall be quoted based on the quantity of materials used in their production. Any price changes shall be communicated in writing before any transaction is concluded.
IV. Delivery Terms and Conditions
3、1 The goods shall be delivered to Party A's designated address within a period of no more than 30 days from the signing date of this contract.
3、2 In case of force majeure events that prevent Party A from receiving the goods within the agreed period, Party A shall notify Party B in writing and provide evidence of the event.
3、3 In the event that the goods have been damaged or lost during transit, Party A shall notify Party B in writing and provide proof of such damage or loss.
3、4 If Party A requests to change the delivery date or location due to unforeseen circumstances, Party B shall review the request and make a reasonable adjustment if possible.
V. Price and Payment Terms
4、1 The total price of the hardware accessories shall be determined by the unit price of each item multiplied by the quantity ordered.
4、2 The payment for the goods shall be made in two equal instalments: one in advance and the remaining balance upon arrival of the goods.
4、3 Party A shall pay 50% of the total price upfront, with the remaining 50% to be paid after the goods have been received and inspected by Party A.
4、4 The payment should be made by wire transfer or bank transfer to the account of Party B indicated on this contract within 7 days of receiving the goods.
VI. Liability and Warranty
5、1 Party B shall bear all responsibility for any damages or losses caused by the use of the hardware accessories.
5、2 If any part of the hardware accessories fails to meet the specifications or quality standards set forth in this contract, Party B shall provide free replacement or repair services without additional charge.
5、3 Party A may claim compensation for any losses incurred due to delays in receiving the goods, provided that it can prove that such delays were caused by Party B's fault.
VII. Force Majeure and Dispute Resolution
6、1 Force majeure refers to any force or circumstance that is beyond the control of either party and results in delay or failure to fulfill the obligations under this contract.
6、2 Should an incident of force majeure occur, either party shall notify the other party in writing and provide evidence of the occurrence.
6、3 Both parties agree to try to resolve disputes amicably through negotiation or mediation, failing which, they may refer to the jurisdiction of a court located in the location of their domicile or place of business, unless otherwise agreed upon in this contract.
VIII. Miscellaneous Provisions
8、1 Any amendments to these terms and conditions shall be effective only when signed by both parties, and shall take effect immediately after being accepted by both parties.
8、2 Any dispute that arises from interpretation of these terms and conditions shall be resolved by negotiation or arbitration according to the law.
8、3 This contract may be supplemented by written agreement signed by both parties.
IX. Signing Date
9、1 This contract comes into legal effect upon the signature of both parties on the date stipulated herein.
9、2 The contract shall be executed in accordance with the above clauses until all obligations have been fulfilled.
9、3 Any modification or addition to this contract must be agreed upon by both parties in writing and signed by their representatives.
X. Signature Page
10、1 Parties A and B have signed this contract voluntarily and understand its contents.
10、2 Both parties acknowledge that they have read, understood, and accepted this contract as per clauses hereunder, and that all parties are fully aware of their obligations and rights as stipulated herein.
10、3 Both parties agree that the terms and conditions contained in this contract are final and irrevocable, and shall be enforced strictly by both parties.
