Parties to the Contract:
1、The Client: ABC Inc., a company incorporated under the laws of the United States of America, having its principal place of business at 123 Main Street, Anytown, USA.
2、The Contractor: XYZ Metalworks, a company incorporated under the laws of the United Kingdom, having its principal place of business at 456 High Street, Another Town, UK.
Contractual Relationship:
The parties to this contract are Client and Contractor, who shall perform the Services specified in this Contract for the consideration set forth below.
Services to be Provided:
1、The Contractor shall provide custom metalwork services to the Client, including but not limited to cutting, bending, welding, and finishing of metal components.
2、The Client shall provide the necessary materials and specifications to the Contractor for the performance of the Services.
3、The Contractor shall deliver the completed metalwork to the Client within the agreed upon time frame.
Contract Price and Terms of Payment:
1、The total contract price shall be USD 10,000.00, payable in full to the Contractor upon completion of the Services.
2、The Client shall make payment to the Contractor via wire transfer or other agreed upon method of payment.
3、The payment schedule shall be as follows: 50% upon commencement of Services, 40% upon completion of Services, and 10% upon final acceptance by the Client.
Performance Dates and Location:
1、The Services shall be performed at the Contractor's facility located at 456 High Street, Another Town, UK.
2、The expected completion date for the Services is May 31, 2023.
3、The Client may request a reasonable extension of time for performance of the Services if circumstances beyond the Control of either Party so require.
Warranties and Guarantees:
1、The Contractor guarantees that all Services performed under this Contract will be done in a workmanlike manner and with reasonable care and skill.
2、The Contract includes a warranty period of one year from the date of final acceptance by the Client during which time the Contractor shall correct any defects in the Services at no additional cost to the Client.
3、The Client acknowledges that it has inspected and approved the quality of the Services prior to acceptance and agrees that it shall not be entitled to any remedy for any defects in the Services unless it gives written notice to the Contractor of such defects within a reasonable time after discovery thereof but in no event later than the expiration of the warranty period set forth above.
4、The warranties and guarantees set forth above are exclusive and are in lieu of all other warranties and guarantees whether express or implied by law or otherwise. Neither Party shall be liable for any consequential or incidental damages resulting from breach of any warranty or guarantee set forth above.
