HARDWARE COMPONENTS PURCHASE AND SALE CONTRACT
This contract pertains to the purchase and sale of hardware components. The seller agrees to provide the buyer with a specific quantity and quality of hardware components at a predetermined price. The buyer agrees to pay the seller for the hardware components received. The contract specifies the terms of payment, delivery, and return of the hardware components. 1. Contract parties
This contract is made between the Buyer and the Seller, both parties being equally bound by its terms and provisions.
2. Contract object
The object of this contract is the purchase and sale of hardware components by the Buyer from the Seller. The specific components to be purchased are identified in the attached schedule, including their names, quantities, and specifications.
3. Prices and payment terms
The Seller shall sell the hardware components to the Buyer at the prices specified in the attached schedule. The Buyer shall make payment to the Seller in full for the components purchased, with terms as identified in the attached schedule. All prices are exclusive of taxes, which shall be paid by the Buyer at the time of payment.
4. Delivery terms
The Seller shall deliver the hardware components to the Buyer at the location specified in the attached schedule. The Buyer shall bear any transportation costs associated with the delivery of the components. The Seller shall ensure that the components are delivered in good condition and in accordance with the specifications identified in the attached schedule.
5. Warranty and guarantee
The Seller guarantees that the hardware components purchased by the Buyer are of good quality and free from defects. In case of any defects or problems with the components, the Seller shall replace them or provide necessary repairs at its own cost. The warranty period shall be as identified in the attached schedule.
6. Termination of contract
This contract may be terminated by either party with a notice period of at least 30 days. In case of termination by the Buyer, the Seller shall refund any amount paid by the Buyer for the components that have not been delivered or replaced. In case of termination by the Seller, the Seller shall compensate the Buyer for any damages incurred due to non-performance of the contract.
7. Dispute resolution
In case of any disputes between the Buyer and the Seller regarding this contract, both parties shall seek to resolve them through friendly negotiations. If negotiations fail, either party may seek assistance from a third party mediator. If mediation also fails, either party may resort to arbitration or litigation in accordance with applicable laws and regulations. The place of arbitration or litigation shall be as identified in the attached schedule. All legal costs associated with arbitration or litigation shall be borne by the party initiating the process.
8. Miscellaneous
This contract is made in duplicate, with each party receiving a copy. All amendments or modifications to this contract shall be made in writing and signed by both parties. This contract shall be governed by and interpreted in accordance with the laws of _______________________ (the place identified in the attached schedule). Both parties hereby agree that this contract is binding upon them and their respective successors and assigns. Neither party shall assign its rights or obligations under this contract without the prior written consent of the other party.
